Title:  Legal Entity Compliance Specialist

Due to growth and customer demand, we are currently recruiting for a Legal Entity Compliance Specialist to join our team in Hickory. NC.

 

JOB SUMMARY:

 

This person will directly support the Vice President & Senior Attorney, Corporate & Securities Law with the administration of legal entity compliance programs which includes identifying and implementing continuous improvement opportunities in compliance programs and systems to collectively have a wider impact throughout the company.  This person will possess excellent administrative and technology skills.
 

The position requires active participation in the administration of a world class legal entity compliance program with the Vice President & Senior Attorney, Corporate & Securities Law. A qualified candidate will be a self-starter who demonstrates the internal drive necessary to create, validate and manage multiple processes within a tight timeline. In addition to the global Law Department members, this role will liaise with other company departments, members of the Legal Leadership Team, and outside counsel/advisors under the direction of the Vice President & Senior Attorney, Corporate & Securities Law.

 

DUTIES & RESPONSIBILITES:

  • Provide assistance in preparation of Company’s legal documents, corporate documents, general correspondence and special legal reports as required; maintain Company’s legal files and corporate records.
  • Assist with the development, operation and maintenance of a web-based legal entity management system, including liaising with other company departments on use of the system, updating and maintaining the global database to ensure accuracy and completeness, assisting with the training of system users, integrating functionality with tax, treasury and finance, and developing reports to allow users to maximize their effectiveness with the system.
  • Support development and facilitation of effective corporate governance practices.
  • Maintain the integrity of the corporate records relating to global legal entities to ensure their accuracy and completeness.
  • Assist with coordination of updating Directors & Officers lists and legal entity organizational charts; draft resolutions as needed
  • Obtain apostilles and other legalized documents to support company’s international operations.
  • Coordinate with colleagues globally on external and internal reporting requirements, routine and operational matters, as well as special projects.
  • Act as primary point of contact between company and its registered agent in the U.S.
  • Use initiative and good judgment to ensure that matters requiring attention are referred to appropriate authority.
  • Prioritize and track commitments and tasks to completion.
  • Make recommendations on technology and process improvement opportunities for operational efficiency and cost reduction.
  • Assist with overseeing and conducting user support/training on legal entity management system and other software implemented for legal entity compliance.
  • Assist with legal department SharePoint intranet sites, including: maintaining and updating multiple libraries for department.
  • Provide general administrative support for the legal department staff, including scheduling appointments, meetings, maintaining daily Outlook calendar, making travel arrangements, as needed; maintain files.
  • Complete other projects and tasks as assigned. 

 

QUALIFICATIONS:

  • A completed Associate’s Degree with at least 2-3 years’ of related experience required, Bachelor’s Degree preferred.
  • Excellent written, verbal and interpersonal communication skills necessary to deal with internal and external contacts, as well as an ability to interact comfortably with many levels of management.
  • Demonstrated ability to work independently, prioritize work load, and display high-level organizational skills.
  • Exhibit a high level of professionalism and initiative.
  • Ability to remain calm, work in a fast paced, at times pressured environment, and balance competing priorities.
  • Skilled in problem solving and analytical reasoning.
  • Uses sound judgment and discretion in decision making.
  • Strong office technology skills; ability to quickly learn new technology.
  • Ability to read and understand legal documents preferred.
  • Certified Notary Public in North Carolina preferred.
